Frontlog Terms of Service
Last updated: October 18, 2026
What changed on October 18, 2026.
- Deleting your account yourself deletes your data at once, so export first (Section 14).
What changed on October 9, 2026.
- A free account replaces read-only mode after a trial or cancellation (Sections 4, 6 and 14).
- The free trial includes 5 AI audits in total, and one trial is allowed per person (Section 4).
- Yearly plans, and single AI audits for $5 (Section 5).
- Rules for ideas you publish to the Public Library, and the license that applies to them (Sections 7 and 9).
For accounts created before October 9, 2026, these changes take effect on November 8, 2026, except changes that only add options or remove limits, which apply now. For new accounts they apply now.
These Terms of Service ("Terms") govern your use of Frontlog, a software-as-a-service product operated by Heraclius, LLC ("we," "us," or "our"). By creating an account or using Frontlog, you agree to these Terms. If you are using Frontlog on behalf of a company, you represent that you have authority to bind that company to these Terms.
1. The Service
Frontlog helps founders validate business ideas before executing on them. The service includes:
- AI research audits: You submit a business idea (a "hypothesis"). Our system researches it and returns a structured audit with a verdict: validate, kill, or needs more information. Each audit includes two perspectives, an Advocate (the case for the idea) and an Auditor (the case against it), plus a synthesis.
- Outcome drafting: For approved ideas, the system drafts a short paragraph describing what "done" looks like, which you can edit before publishing.
- Frontlog queue management: A shared queue of approved tasks with expected outcomes, organized into workspaces. Team members take ownership of items when they have capacity.
We may add, change, or remove features over time. We will notify you of material changes that reduce functionality.
2. Key Terms
- "Your Content" means anything you or your team submit to Frontlog, including ideas, hypotheses, attached context, comments, and workspace settings.
- "Output" means content the service generates for you, including audits and outcome drafts.
- "Cancellation" means ending your paid subscription. Your account stays open on the free account.
- "Free account" means a workspace with no active paid plan, as described in Section 4.
- "Public Library" means the public area of Frontlog where founders choose to publish ideas and audits for anyone to read and reuse.
- "Termination" means closing your account, whether by you, by us, or automatically under Section 14.
3. Eligibility, Accounts, and Roles
You must be at least 18 years old and able to form a binding contract to use Frontlog. You must provide accurate information when registering, keep your login credentials secure, and you are responsible for all activity under your account.
There are two account roles:
- Founder: The account owner. Founders can create workspaces, invite team members, run full AI research audits, manage billing, and delete data. Founders are responsible for having the right to invite team members and to add their information to Frontlog.
- Team member: Invited by a founder. Team members can view workspaces and audit results, submit suggestions, comment, and take ownership of published queue items. Team members can run research audits only when the founder allows it; otherwise they can read audits. Outcome drafting is a founder feature.
Seat, workspace, and audit limits for each plan are listed on our pricing page at frontlog.ai/pricing, or in your order form for Enterprise customers. If you reach your seat limit, you cannot invite additional members until you upgrade or remove someone.
4. Free Trial
What the trial includes. A new workspace can start a 14-day free trial with Startup plan seats and workspaces and 5 AI audits in total for the whole trial. No credit card is required. If you choose a plan during the trial, that plan's monthly audits are available right away, and your first charge still waits until the trial would have ended.
One trial per person. One trial is allowed per person. Deleting a workspace or creating a new one does not start another trial. To prevent repeated trials, we check a one-way hash of your email address, your email domain, and a one-way hash of your network address, as described in our Privacy Policy. We may limit the number of trials for one company domain or one network address, and we may decline or end a trial early if we detect abuse. When a trial is not available, your workspace still opens on the free account.
The free account. When a trial ends without a subscription, or after Cancellation takes effect, your workspace moves to the free account. It is not deleted and does not become read-only. On the free account:
- The founder can keep creating and editing ideas, recording decisions, and reading past audits.
- The founder can run AI audits with single audits bought for $5 each (Section 5) and can share audits privately or publish them to the Public Library.
- Team members can read the workspace but cannot make changes.
- Included monthly audits, inviting team members, and AI outcome drafts are not available.
You can choose a plan at any time to get those features back.
5. Subscriptions and Billing
Plans and pricing. Current plans, prices, and limits are listed on our pricing page. Enterprise pricing is defined in a separate agreement or order form.
Billing. Subscriptions are billed in advance through Stripe, our payment processor, either monthly or yearly, as you choose at checkout. Yearly plans are billed once a year at the yearly price shown on the pricing page. Subscriptions renew automatically at the end of each billing period until you cancel. By subscribing, you authorize us (via Stripe) to charge your chosen payment method each billing period. No sales tax or VAT is added at checkout: the price shown is the price you pay.
Yearly plans and monthly audits. On a yearly plan, included audits are still given each calendar month. A yearly plan does not give a full year of audits up front, and unused audits do not roll over.
Changing plans. Upgrades, and moves from monthly to yearly billing, take effect right away with a prorated charge for the rest of the current period. Downgrades, and moves from yearly to monthly billing, take effect at your next renewal. Extra seats added during a period are prorated; seats removed take effect at renewal.
Single AI audits. You can buy a single AI audit for $5, with or without a subscription. Each purchase adds one audit credit to your account. Credits belong to the person who bought them, can be used in any workspace where that person may run audits, and do not expire. Your plan's included audits are used first. A credit is used only when an audit finishes; if an audit fails or does not finish, the credit is not used. Buying a credit never starts an audit or publishes anything by itself.
Cancellation. You can cancel at any time from your billing settings. Cancellation takes effect at the end of your current billing period, monthly or yearly. You keep full access until then, and your workspace moves to the free account afterward.
Refunds. Subscription fees are non-refundable once a billing period has started, except where required by applicable law. This includes yearly plans: we do not give partial refunds for the unused part of a year. Unused single-audit credits can be refunded on request; a credit that was used for a finished audit cannot. If you believe you were charged in error, contact support@frontlog.ai within 30 days and we will review it.
Price changes. We may change prices with at least 30 days' notice. Changes apply to your next billing period after the notice period. If you disagree with a price change, you may cancel before it takes effect.
Failed payments. If a payment fails, we will notify you and retry. Your plan's included AI audits and outcome drafts pause right away until payment succeeds. One-time audits you bought still work during the first 7 days. If payment is not resolved within 7 days, your workspace becomes read-only until payment succeeds or you cancel; audits you bought are kept and work again once it does. If the payment is never resolved, the subscription ends and the workspace moves to the free account.
6. Usage Limits and Quotas
Research audits are subject to the monthly quota for your plan, as listed on the pricing page or in your order form.
- At 80% of your monthly quota, we will warn you in the product.
- At 100%, new audits are paused and you will see an upgrade prompt. You can also buy single audits for $5 each (Section 5).
- We do not charge overage fees. A single audit is charged only when you choose to buy one. There are no automatic metered charges in the current version of the service.
- The free trial includes 5 AI audits in total, not per month (Section 4).
- AI outcome drafts are limited to 100 per workspace per month on every plan. At the limit, drafts pause until the next month; you can still write outcomes yourself.
- Quotas reset on the first day of each calendar month. Unused audits do not roll over.
7. Your Content
Ownership. You own Your Content. As between you and us, you also own the Output delivered to you.
License to us. You grant Heraclius, LLC a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, and modify Your Content only as needed to provide, secure, and support the service. This includes sending Your Content to our service providers, such as our AI model provider, as described in our Privacy Policy. This license ends when Your Content is deleted from our systems, except for copies held in backups until they cycle out or as required by law.
Your responsibilities. You represent that you have the rights needed to submit Your Content. Do not submit sensitive personal information, or personal information about others that you do not have the right to share.
What we will not do. We do not sell Your Content. We do not use it to train AI models without your separate written consent.
AI processing. Your idea content is sent to our AI model provider, which processes it under its own commercial terms. Section 4 of our Privacy Policy explains what is sent and how it is handled.
Sharing and the Public Library. Everything in a workspace stays private to that workspace until a founder chooses to share it. A founder can share an audit with specific people, or publish an idea and its audit to the Public Library after previewing exactly what will be shown. When you publish to the Public Library:
- Anyone can read it, including people without a Frontlog account.
- You license the published idea and audit to everyone under the Creative Commons Attribution 4.0 International License (CC BY 4.0). Others may copy, adapt, and build on it, including commercially, as long as they credit you. Ideas claimed in Frontlog are saved as separate copies credited to the original author.
- You grant us the right to display, index, and promote the published content in Frontlog and in our marketing.
- You confirm that you have the right to publish it and that it does not contain confidential information, trade secrets, or personal information about others.
- You can unpublish at any time. Unpublishing removes it from the Public Library, but it does not withdraw the license for copies that others already made or claimed.
Comments you post on public ideas are also visible to anyone and follow the same rules.
8. AI-Generated Output Disclaimer
- AI research audits are research aids, not professional advice. They do not constitute legal, financial, investment, tax, or business advice.
- Audit verdicts (validate, kill, needs info) reflect the AI system's analysis based on available information. They may be wrong, incomplete, or outdated.
- Output may contain inaccurate statements about real companies, products, markets, or people. Verify any such statement before relying on it or publishing it.
- Output generated for you may be similar to output generated for other users.
- You are solely responsible for your business decisions. The founder makes the final call on every idea. Do not rely on Output as the sole basis for significant business, financial, or legal decisions.
- We do not guarantee the accuracy, completeness, or timeliness of any Output.
9. Acceptable Use
You agree not to:
- Use the service for any illegal purpose or in violation of any law.
- Submit content that is unlawful, defamatory, harassing, or infringing on others' intellectual property.
- Submit personal information about others without a lawful basis to do so.
- Attempt to gain unauthorized access to the service, other accounts, or our systems.
- Abuse the service, including attempting to circumvent usage quotas, seat limits, trial limits, or access controls.
- Use the service to generate spam, phishing content, or deceptive material.
- Reverse-engineer the AI audit prompts or attempt to extract our proprietary prompt engineering, except as necessary for ordinary use.
Public Library community rules. When you publish an idea, comment on one, or claim one, you also agree to:
- Share only ideas and content you have the right to share, and credit others when you build on their work.
- Keep it about the idea. No harassment, hate, threats, or personal attacks.
- Not post personal information about anyone, or confidential information that belongs to someone else.
- Not post spam, advertising, links meant to mislead, or the same content over and over.
- Not use public content to impersonate its author or to suggest that they endorse you.
If you see content that breaks these rules, use Report on the idea or tell us at support@frontlog.ai. An idea reported by several people is hidden until we review it. We may remove public content, hide comments, or limit public posting for accounts that break these rules, with or without notice.
We may suspend or terminate accounts that violate these Terms.
10. Feedback
If you send us suggestions, ideas, or other feedback about Frontlog, we may use it for any purpose without restriction or obligation to you. Feedback does not include Your Content.
11. Intellectual Property
The Frontlog service, including its software, design, branding, and AI prompt engineering, is owned by Heraclius, LLC and protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the service during your subscription. You may not copy, modify, or redistribute the service itself. Output delivered to you is yours to use for your business purposes.
12. Limitation of Liability
To the maximum extent permitted by law:
- The service is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We are not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or lost data, even if we were advised of the possibility.
- Our total liability for any claim arising from these Terms or the service is limited to the amount you paid us in the 12 months before the claim arose, or $100, whichever is greater.
Some jurisdictions do not allow these limitations, so they may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Heraclius, LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the service, Your Content, your violation of these Terms, or your violation of any law or third-party right.
14. Cancellation, Termination, and Your Data
- Free accounts. After a trial ends without a subscription, or after Cancellation takes effect, your workspace stays open on the free account (Section 4) for as long as you keep using it. If nobody signs in to an account for 24 months, we may close it. We will email you at least 30 days before this happens.
- Read-only accounts. A workspace becomes read-only only while a failed payment goes unresolved for more than 7 days (Section 5).
- Termination by you. You may close your account at any time in Settings, under Delete account, or by emailing support@frontlog.ai from your account email address. Deleting your account deletes the workspaces where you are the only founder and cancels their subscriptions at once, without a refund for the rest of the period. Unused single-audit credits are forfeited, so ask us to refund them before you delete.
- Termination by us. We may suspend or terminate your account for violation of these Terms, with notice and an opportunity to cure where reasonable. We may also terminate for convenience with 30 days' notice.
- Data after termination. You can export your workspace data at any time from Settings. You may also request an export of your data within 30 days after termination by us or after a closure for inactivity. If you delete your account yourself, its data is deleted at once and nothing is left to export, so export first. We will provide your workspaces, ideas, and audit history in a standard machine-readable format. After 30 days, we delete your data as described in our Privacy Policy.
- Survival. Sections 7, 8, 10, 11, 12, 13, and 17 survive termination.
15. Privacy
Our handling of personal information is described in our Privacy Policy, available at frontlog.ai/privacy. Business and Enterprise customers may request a Data Processing Addendum by contacting support@frontlog.ai.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect, by email or in-product notice. Continued use after the effective date constitutes acceptance.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws rules. Heraclius, LLC is based in Atlanta, Georgia. Any dispute arising from these Terms or the service will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you and we consent to the personal jurisdiction of those courts.
Before filing a claim, you agree to contact us at support@frontlog.ai and give us 30 days to try to resolve the dispute informally.
18. General
- Entire agreement: These Terms, plus any Enterprise agreement or order form, constitute the entire agreement between you and us regarding the service.
- Severability: If any provision is found unenforceable, the rest remain in effect.
- No waiver: Failure to enforce a provision does not waive our right to enforce it later.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
